The Russia Region (Russia, Kazakhstan, Uzbekistan) Ethics Compliance Manager/Counsel will manage ethics compliance matters within the Russia Region as well as work among a team of global compliance professionals on enterprise-wide ethics compliance initiatives at this multinational oilfield services company. The position will report directly to the Senior Counsel and Director of Ethics Compliance based in the United States and functionally to the Region Legal Counsel. The position will have no direct reports at this time.
Job Responsibilities: The Region Ethics Compliance Manager/Counsel will be responsible for the following activities regarding ethics compliance. For this company, “ethics compliance” refers to compliance with the Company’s Code of Business Conduct and related policies and procedures, including concerning anti-corruption (U.S. Foreign Corrupt Practices Act, U.K. Bribery Act, and other applicable laws), anti-money laundering, anti-fraud and conflicts of Interest, fair competition, and data privacy.
Provide prompt advice on all ethics compliance matters and inquiries to business and functional partners within the Region;
Revise and negotiate compliance contract clauses as well as responses to client and other third-party compliance questionnaires, and other similar inquiries;
Conduct live and online training on ethics compliance and business ethics policies and procedures; as well as applicable local law;
Conduct the requisite due diligence associated with travel, gift and entertainment, donation and sponsorship requests requiring Compliance approval;
Manage and execute compliance due diligence procedures relating to proposed third party intermediaries, mergers and acquisitions, and joint venture formations, as applicable, for presentation to the management;
Advise on and implement compliance integration efforts in acquired entities and joint ventures, as applicable;
Lead internal compliance investigations and audits as well as with implementation of remediation plans;
Assist during compliance audits conducted by third parties;
Monitor external developments in compliance, including laws and regulations, government investigations, and industry best practices;
Formulate recommendations regarding manners of addressing Region-specific areas of compliance vulnerability and risks and implement the same;
Supervise and coordinate with outside compliance counsel as needed;
Participate in enterprise-wide compliance related initiatives, including revision of compliance policies and procedures, as needed; and
Perform various other duties assigned by supervisor within the physical constraints of the job.
Law degree strongly preferred but not required.
At least five (5) years’ experience relating to ethics (inclusive of anti-corruption) compliance in Russia, as a practicing attorney and/or a compliance professional.
Oil and gas sector experience a plus but not required.
Fluency in written and spoken Russian and English.
Exceptional analytical, communication (written and verbal), presentation and time management skills.
Ability to handle sensitive, confidential matters and exercise sound discretion and judgment.
Strong attention to process and detail.
Capable of working independently or in a team as needed, assuming significant responsibility, and being a self starter.
Willingness to travel up to 25% of working time.
